Please read these Terms of Service carefully before using PingPanda. By using the Service you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using PingPanda ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including free trial users and paying subscribers.
2. Description of Service
PingPanda is a customer relationship management platform that connects to WhatsApp via the WhatsApp Business API. The Service includes an AI-powered chat bot, shared team inbox, broadcast messaging, and contact management tools. Features available to you depend on your subscription plan.
3. Accounts and Registration
You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions and Billing
Paid plans are billed monthly or annually in advance. All plans begin with a 7-day free trial. After the trial, continued use requires a paid subscription. You may cancel at any time; cancellations take effect at the end of the current billing period. We do not offer refunds for partial periods unless required by applicable law. Prices may change with 30 days' notice.
5. Acceptable Use
You agree not to use the Service to send spam, unsolicited bulk messages, or content that is illegal, harmful, threatening, abusive, or violates any third-party rights. You must comply with WhatsApp's Business Policy and Commerce Policy when sending messages through the Service. We may suspend your account immediately if we determine you are in violation of these obligations.
6. AI Features and Credits
The Service includes AI features powered by third-party language models. AI credits are allocated per billing cycle and do not roll over. The AI may produce inaccurate or incomplete outputs — you are responsible for reviewing AI-generated content before relying on it. We do not guarantee any specific outcomes from use of AI features.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your data. By using the Service, you grant us a limited license to process your data solely to provide the Service. We will not sell your data to third parties.
8. Intellectual Property
PingPanda and its content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written permission.
9. Third-Party Integrations
The Service integrates with third-party platforms including WhatsApp (Meta), and may integrate with others in future. We are not responsible for the availability, accuracy, or practices of third-party services. Your use of those services is subject to their own terms and privacy policies.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your own risk.
11. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim arising from these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved in the courts of competent jurisdiction. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
